These Terms and Conditions (“Terms”) govern your use of milehauldispatch.com (the “Website”) and the dispatch services provided by [LEGAL NAME], doing business as MileHaul Dispatch (“MileHaul Dispatch,” “we,” “us,” or “our”). By using the Website or our services, you agree to these Terms. If you do not agree, please do not use the Website or our services.
1. Who we are
MileHaul Dispatch is a truck dispatch service. We act as an agent on behalf of motor carriers and owner-operators to find freight, negotiate rates, and handle related paperwork. We are not a freight broker, freight forwarder, or motor carrier, and we do not take possession of or arrange transportation of freight on our own behalf.
2. Eligibility
Our services are available only to motor carriers that hold active operating authority (MC number and USDOT number) issued by the Federal Motor Carrier Safety Administration (FMCSA), along with valid insurance as required by law and by the brokers and shippers they haul for. You must be at least 18 years old and authorized to bind the carrier you represent.
3. Dispatch service agreement
Use of our dispatch services requires a signed Dispatch Service Agreement. If anything in these Terms conflicts with your signed Dispatch Service Agreement, the Dispatch Service Agreement controls.
4. Our services
Depending on your agreement, our services may include:
- Searching for and booking loads that match your stated preferences
- Negotiating rates with brokers on your behalf
- Completing broker carrier setup packets
- Reviewing rate confirmations before you accept them
- Sending invoices and paperwork to brokers or your factoring company
- Following up on payments, detention, and layover claims
We do not guarantee any specific number of loads, rate per mile, revenue, or availability of freight. Freight markets change daily and results vary.
5. Your responsibilities
As the carrier, you are solely responsible for:
- Maintaining active operating authority, insurance, and all required permits and licenses
- Complying with all federal, state, and local laws, including FMCSA safety rules and Hours of Service regulations
- The safe operation and maintenance of your equipment
- The pickup, transport, care, and delivery of all freight you accept
- Providing accurate and up-to-date documents and information to us
- Reviewing and accepting each load before it is booked
You keep full control over which loads you accept. We will not book a load without your approval.
6. Fees and payment
Our dispatch fee is [FEE] of the gross load rate, unless a different fee is stated in your Dispatch Service Agreement. Fees are due only on loads that are booked through us and delivered. Payment terms, invoicing schedule, and late payment terms are set out in your Dispatch Service Agreement. Unpaid fees may result in suspension of services.
7. Cancellation
Either party may end the dispatch relationship with written notice as described in your Dispatch Service Agreement. Fees remain due for any loads booked through us before cancellation takes effect.
8. No guarantee of broker payment
Payment for freight is the responsibility of the broker or shipper. We will make reasonable efforts to follow up on unpaid invoices, but we are not responsible for any broker or shipper’s failure or refusal to pay, delay in payment, or insolvency.
9. Limitation of liability
To the fullest extent permitted by law, MileHaul Dispatch is not liable for any cargo loss or damage, accidents, injuries, equipment damage, fines, penalties, claims, delays, or lost profits arising from your operations or from loads you accept. Our total liability for any claim related to our services will not exceed the dispatch fees you paid us in the 30 days before the claim arose.
10. Indemnification
You agree to indemnify and hold harmless MileHaul Dispatch, its owners, employees, and agents from any claims, losses, damages, or expenses (including reasonable attorney’s fees) arising from your operations, your breach of these Terms, or your violation of any law or third-party right.
11. Non-solicitation
You agree not to use information we share about a load or broker to bypass our services for loads we sourced for you. Details are covered in your Dispatch Service Agreement.
12. Website use
You agree not to misuse the Website, including by attempting to gain unauthorized access, interfering with its operation, or submitting false information through our forms. All content on the Website, including text, logos, and graphics, belongs to MileHaul Dispatch and may not be copied without our written permission.
13. Third-party links
The Website may link to third-party websites or services, such as factoring companies or load boards. We are not responsible for their content, policies, or practices.
14. Governing law
These Terms are governed by the laws of the State of [STATE], without regard to its conflict of law rules. Any disputes will be resolved in the state or federal courts located in [STATE].
